Terms of Service

By accessing or using NimbusBrain ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and NimbusBrain ("we," "us," or "our").

You must be at least 13 years old to use NimbusBrain. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and current. Accounts are for individual use; you may not share your account credentials with others.

Your account is managed through Clerk, our authentication provider. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at support@nimbusbrain.app. We are not liable for any loss or damage arising from unauthorized access to your account.

NimbusBrain is an AI-powered project intelligence workspace that allows you to create and manage projects, tasks, notes, decisions, knowledge entries, and milestones. The Service also includes an AI assistant that processes your workspace data to provide context-aware suggestions and responses. Features and plan limits may change over time; we will notify you of material changes.

The AI assistant and any AI-generated content (including flagged AI-generated tasks) are provided for informational and productivity purposes only. AI outputs are not professional advice — legal, financial, medical, or otherwise. We do not guarantee the accuracy, completeness, or fitness of any AI-generated content for any particular purpose. You are solely responsible for reviewing and acting on any AI-generated content.

NimbusBrain offers a Free plan and paid plans (Pro at $14.99/month, Pro+ at $19.99/month). Paid subscriptions are processed and managed by LemonSqueezy, our payment processor. By subscribing, you authorize recurring charges to your payment method at the applicable rate until you cancel.

You may cancel your subscription at any time through the billing portal in your Settings. Upon cancellation or expiry, your account will revert to the Free plan. We do not provide refunds for partial billing periods. We reserve the right to change pricing with reasonable notice.

Each plan includes usage limits:

• Free — Up to 3 projects; 30 AI messages per week. • Pro — Unlimited projects and tasks; 125 AI messages per week; AI memory per project. • Pro+ — Unlimited projects and tasks; 150 AI messages per week on our best model, then unlimited on a fallback model; AI memory per project.

Exceeding a limit will prevent further use of that feature until the usage window resets. Limits are subject to change with notice.

You retain ownership of all content you create within NimbusBrain — including your projects, tasks, notes, decisions, knowledge entries, and AI conversation history. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving the Service. We do not claim ownership of your content and will not sell it to third parties.

All rights in the NimbusBrain platform — including the brand, interface, proprietary logic, and underlying code — are owned by NimbusBrain. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary materials without prior written consent.

You agree not to use the Service to:

• Violate any applicable law or regulation. • Upload or transmit harmful, unlawful, or abusive content. • Attempt to reverse-engineer, scrape, or interfere with the Service. • Use the Service to provide competing products or services. • Circumvent any usage limits or access controls.

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. You may delete your account at any time by contacting us at support@nimbusbrain.app. Upon deletion, your data will be removed in accordance with our Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted availability, error-free operation, or fitness for a particular purpose. To the maximum extent permitted by applicable law, NimbusBrain and its owner shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of — or inability to use — the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in the Philippines.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service.
